Mr.…………, aged ……… years, son of ……………, residing at …………, (hereinafter referred to as the “VENDOR,” which expression shall, unless repugnant to the context or meaning thereof, include his heirs, executors, administrators, and assigns) of the FIRST PART.
AND
Mr.…………, aged ……… years, son of ……………, residing at …………, (hereinafter referred to as the “VENDEE” or “PURCHASER,” which expression shall, unless repugnant to the context or meaning thereof, include his heirs, executors, administrators, and assigns) of the SECOND PART.
WHEREAS:

The Vendor is the lawful owner of a freehold residential plot measuring 300 sq. yards, bearing No.170 in “M” Block of the residential colony known as Greater Kailash Part-II, New Delhi, acquired through a registered sale deed dated 6.8.85, registered as Document No. 5560, Additional Book No. I, Volume No. 5318, at pages 136 to 152 in the office of the Sub-Registrar, New Delhi.

The aforementioned property is bounded as under:
- EAST: Road
- NORTH: Plot No. M-168
- WEST: Service Lane
- SOUTH: Plot No. M-172

The Vendor, after purchasing the said plot, obtained approval for building plans from the Municipal Corporation of Delhi under File No. 400/B/85, dated 13.12.85, and subsequently constructed a residential building thereon.

The Vendor has agreed to sell, and the Vendee has agreed to purchase a portion of the property, comprising 760 sq. ft. of the Basement (approximately) and one front bedroom with an attached bathroom and small balcony on the First Floor, on an “as-is-where-is” basis, for a total consideration of Rs. 2,50,000/- (Rupees Two Lakhs and Fifty Thousand only), subject to the terms and conditions set forth herein.
NOW THIS SALE DEED WITNESSES AS FOLLOWS:

Receipt of Part Payment: The Vendor acknowledges receipt of Rs. 2,00,000/- (Rupees Two Lakhs only) from the Vendee as part payment of the sale consideration.

Payment of Balance Amount: The balance amount of Rs. 50,000/- (Rupees Fifty Thousand only) has been paid by the Vendee to the Vendor through Cheque No. 010806, dated 29.9.86, drawn on Central Bank of India, Kalkaji, New Delhi-110019.

Transfer of Ownership: The Vendor hereby conveys and transfers all his rights, title, and interest in the said portion of the Basement and First Floor to the Vendee, together with undivided and indivisible ownership rights in the land underneath the said building, subject to the terms stated herein. Common areas and amenities, including the staircase and water tanks, shall be shared with other occupants.

Rights to Sell Remaining Property: The Vendor reserves the right to sell other portions of the property to third parties, who will also enjoy the use of common facilities. The Vendee shall not raise any objection thereto.

Encumbrance-Free Title: The Vendor assures the Vendee that the property is free from any encumbrance, attachment, prior sale, tenancy, or dispute. If otherwise proved, the Vendor shall indemnify the Vendee for any loss incurred.

Inspection and Satisfaction: The Vendee acknowledges having inspected all relevant documents, including the title deeds and sanctioned building plans, and is satisfied with the Vendor’s title.

Restriction on External Display: The Vendee agrees not to affix or display any signboards or advertisements on the external façade of the building.

Registration Expenses: All costs relating to the registration of this Sale Deed, including stamp duty and applicable taxes, shall be borne by the Vendee.

Maintenance Charges: Charges for common facilities such as lighting, water pumps, and repairs shall be shared proportionately by all occupants.

Tax Liability: From the date of the Agreement to Sell, all taxes pertaining to the Vendee’s portion shall be borne by the Vendee. If taxes are assessed collectively, they shall be shared proportionately.

Upkeep of Property: The Vendee shall maintain the purchased portion in good condition and shall not undertake actions detrimental to the structural integrity or enjoyment of the building by others.

Permissible Use: The Vendee agrees to use the Basement as domestic storage and the First Floor portion for residential purposes only, avoiding any illegal or commercial activities.

Alterations: The Vendee may make internal, non-structural alterations at her own cost but shall not undertake any construction or modification to the terrace or uncovered land.

Access to Utilities: All occupants shall have reasonable access to water tanks, sewer systems, and utilities for maintenance purposes.

Delivery of Possession: The Vendor confirms having handed over physical, vacant possession of the sold portion to the Vendee.

Jurisdiction: Any disputes arising under this Sale Deed shall be subject to the exclusive jurisdiction of courts in Delhi.
